Directors' report

The Directors present their report and the audited consolidated financial statements of the Group for the year ended 31 December 2012.

Principal activities and business review

The Group’s principal activities are the provision of a range of industry-specific processing services to the banking and insurance industries as well as
technology, human resources and procurement services across industries. The Company acts as the holding company for the Group. The Companies Act 2006 requires Xchanging to present a fair review of the Group’s business and a description of the principal risks and uncertainties facing the Group. The information which fulfils these requirements is provided in the sections of the Annual Report entitled Chairman’s statement, Chief Executive Officer’s statement, principal risks and uncertainties in 2012, Business review and Financial review, on pages 28 to 43, providing detailed information on the Group and its strategy, the operation of the businesses, and the results and financial position for the year ended 31 December 2012. These report on the principal risks and uncertainties facing the Group, trends and economic factors impacting the business and likely future developments.
